Terms and Conditions

These Terms and Conditions ("Terms") are a binding agreement between you ("you", "Customer", or "User") and Wippit Systems LLC ("Wippit", "we", "us", or "our"), the operator of the wipp.it platform and related websites, applications, and services (collectively, the "Service").

By creating an account, clicking "I agree," or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.


1. The Service

Wippit provides a hosted software platform that enables users to build, publish, and operate websites and web applications, together with related content management, data, storage, email, and administrative tools. The Service is provided on a software-as-a-service (SaaS) basis and may evolve over time as we add, change, or remove features.

2. Eligibility and Accounts

2.1 You must be at least 18 years old and able to form a binding contract to use the Service.

2.2 You are responsible for the information you provide when registering and for keeping it accurate and current.

2.3 You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@wippit.systems of any unauthorized use or security breach.

2.4 You are responsible for any users, employees, or collaborators you authorize to access the Service under your account.

3. Subscriptions, Fees, and Billing

3.1 Plans. The Service is offered under subscription plans (for example, Personal, Pro, and Business tiers) with different features, limits, and prices as described at the point of purchase.

3.2 Payment processor. Payments are processed by our third-party payment processor, Stripe, Inc. ("Stripe"). By subscribing, you authorize us and Stripe to charge your payment method for all applicable fees. Your use of Stripe is subject to Stripe's terms and privacy policy.

3.3 Trials. Where a free trial is offered, you may be required to provide a valid payment method. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.

3.4 Recurring billing. Subscriptions renew automatically for successive billing periods (monthly or annual, as selected) until cancelled. You authorize recurring charges at the then-current rates.

3.5 Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, except taxes based on our net income.

3.6 Price changes. We may change fees or introduce new charges. We will give you reasonable advance notice, and changes take effect at your next renewal.

3.7 Cancellation. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable and we do not provide prorated refunds for partial periods.

3.8 Non-payment. If a charge fails or your account is past due, we may suspend or terminate your access and delete associated data after a reasonable period.

4. Your Content and Data

4.1 Ownership. You retain all rights to the content, data, code, and materials you or your authorized users upload, create, or publish through the Service ("Customer Content"). We claim no ownership of Customer Content.

4.2 License to us. You grant us a worldwide, non-exclusive license to host, store, reproduce, transmit, display, and process Customer Content solely to operate, maintain, secure, and provide the Service to you, and as otherwise permitted in these Terms and our Privacy Policy.

4.3 Responsibility. You are solely responsible for Customer Content, including its legality, accuracy, and your right to use and publish it. You represent that Customer Content does not infringe or violate any third-party rights or applicable law.

4.4 Backups. While we take reasonable measures to protect data, you are responsible for maintaining your own backups of Customer Content where practical.

4.5 Data ownership — tenant data vs. Wippit data. As between you and Wippit, you own and control Customer Content and the data your services store ("tenant-owned data"). Wippit claims no ownership of tenant-owned data and does not use it for its own purposes; where Wippit hosts your service, it processes and stores that data only on your behalf and under your instructions to provide the Service — for example, when your services or a wipp request an operation on it. By contrast, the data Wippit needs to run the platform and the Wippit Network — your account and billing data, the WAS identity information described in Section 6.7, Network relationship records (such as follows), and operational logs — is controlled by Wippit, as described in our Privacy Policy.

4.6 AI features and generated content. The Service may include AI-assisted features that generate content, code, or suggestions ("AI Output"). AI Output may be inaccurate or incomplete; you are responsible for reviewing it before you rely on or publish it, and it is provided "as is" without warranty. As between you and Wippit, AI Output generated for you is treated as Customer Content under this Section 4. Wippit does not use your Customer Content or tenant-owned data to train third-party AI models except as necessary to provide the Service or with your consent, consistent with our Privacy Policy.

You agree not to, and not to permit anyone to:

We may investigate suspected violations and may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms the Service, other users, or third parties.

6. The Wippit Network and Wippit Access Service (WAS)

6.1 Overview. The Service includes the "Wippit Network," a federated environment that connects tenants, their services, and users across the Wippit platform. The "Wippit Access Service" or "WAS" is the identity, authentication, and discovery facilitator for the Wippit Network. WAS authenticates users across tenants, enables tenants to make selected services available to external users, and enables users to discover services offered by tenants. The Wippit Network is built on a Privacy-First principle: Wippit holds the minimum information necessary, protects what it holds with strong encryption and safeguards kept as secure as current technology reasonably allows, and leaves you in control of who may contact you.

6.2 Authentication. Access to the Service is mediated through WAS. All tenant users, and all guest users, are authenticated through WAS before accessing services within the Wippit Network. You are responsible for the accuracy of the identity information associated with your WAS credentials and for all activity conducted under them.

6.3 Tenant control over service access. A tenant may use WAS to make selected internal services — including wipps and other applications, data, or content — accessible to external users within the Wippit Network. The tenant at all times retains sole control over which services are exposed, to whom, and on what terms, and may grant, restrict, condition, or revoke access for any external user at any time, with or without notice. Wippit does not determine, and is not responsible for, a tenant's access decisions.

6.4 Discovery and search. Users may use WAS to search for and discover services offered by tenants within the Wippit Network. A tenant controls whether and how its services are listed or made discoverable. Discoverability of a service does not by itself grant any right to access it; access remains subject to the relevant tenant's controls and to any additional terms that tenant imposes.

6.5 WAS as facilitator only. WAS is solely a facilitator that enables authentication, access, and discovery across the Wippit Network. Wippit does not control, endorse, verify, or assume responsibility for the services, content, conduct, or terms of any tenant, or for the interactions between tenants and users. Your access to and use of any tenant's service is a relationship between you and that tenant and may be governed by that tenant's own terms and privacy practices. Wippit is not a party to that relationship and disclaims liability for it to the fullest extent permitted by law.

6.6 Guest users. Guest users must authenticate through WAS and are bound by these Terms with respect to their use of the Wippit Network, in addition to any terms imposed by the tenant whose services they access.

6.7 Identity, identity resolution, and data (Privacy First). To browse the Wippit Network you need only a user identifier and credentials. When you sign up with a tenant, the identity information you provide — your name (which goes to the tenant), and your email address and/or phone number (which go to WAS) — establishes and recognizes your single Wippit identity and enables sign-in verification and the notifications you allow. Consistent with our Privacy-First design, WAS stores your email and/or phone securely, protected with strong encryption and safeguards kept as robust as current technology reasonably allows (no method can be guaranteed absolutely or indefinitely), and uses a derived identifier to recognize you as the same user across tenants. Wippit uses this identity information only to authenticate you, maintain your Network identity, and deliver notifications you have consented to — not for advertising or unsolicited contact. You may view and update these details. A tenant may separately require additional information as a condition of providing its own services; you provide that directly to the tenant, which collects and controls it under its own terms and privacy notice. WAS does not disclose your identity details to a tenant except as you provide them to that tenant directly. This is further described in our Privacy Policy.

6.8 Acceptable use within the Network. In addition to Section 5, you must not: attempt to access any tenant service you are not authorized to access; circumvent WAS authentication, access controls, or a tenant's access decisions; misrepresent your identity or affiliation to WAS or to any tenant; scrape, harvest, or index the Network directory except as expressly permitted; or use discovery features to send unsolicited communications or to otherwise abuse tenants or users.

6.9 Availability of WAS. Because access to services within the Wippit Network depends on WAS, an interruption of WAS may affect your ability to authenticate or access services. WAS is provided subject to the availability and disclaimer provisions of these Terms, and we do not guarantee its uninterrupted or error-free operation.

6.10 Suspension of Network participation. We may suspend or limit a user's or tenant's participation in the Wippit Network, or remove a service from discovery, where we reasonably believe it is necessary to protect the Network, tenants, users, or third parties, or to comply with law or these Terms.

6.11 Tenant listing information and promotion. To participate in the Wippit Network, a tenant provides listing information about itself (such as its services, categories, and markets served) so that users can find it. The tenant, not Wippit, chooses to expose its services and to be searchable, and is solely responsible for the accuracy of its listing information. Wippit does not use a tenant's listing information to promote the tenant on its own initiative, and does not push tenants, offers, or advertising to users. Discovery within the Wippit Network is user-initiated: services appear only in response to a user's search. Where a tenant elects to be promoted within the Network, any such promotion is limited to how the tenant's services are ranked or featured within search results, and is never carried out by contacting users, profiling users, or otherwise using users' personal information for advertising or unsolicited communications.

6.12 Following a tenant. A user may choose to "follow" a tenant. Following is the first, opt-in level of trusted communication between a user and a tenant: it lets the user engage more fully with the tenant's services and grants the tenant limited permissions that the user consents to, such as sending the user certain notifications. A tenant may send notifications only to users who follow it; following is entirely at the user's discretion and does not obligate the user in any way. A user may unfollow a tenant at any time, which withdraws the corresponding permissions and communication consent on a going-forward basis. Tenants must respect a user's follow and unfollow choices and must not use the Wippit Network to contact users who have not consented, or who have withdrawn consent, through these controls. To operate this feature and honor your choices, Wippit maintains a record of the follow relationship between the user and the tenant (identifier, tenant, and status), as described in our Privacy Policy. Any personal information a tenant uses to deliver notifications is handled by the tenant under its own terms and privacy notice, as described in Section 6.7.

6.13 Deleting your Wippit identity. You may delete your Wippit identity at any time. Because your identity is what authenticates you across the Wippit Network, deleting it removes you from the Network: WAS will no longer authenticate you, and you will lose access to the Network and to any tenant services you reached through WAS. Wippit will delete or anonymize your WAS identity information and your Network relationship records (such as follows) in accordance with our Privacy Policy. Information you previously provided directly to a tenant remains with that tenant under its own terms and privacy notice; to have that removed, contact the tenant.

7. Third-Party Services

The Service integrates with or relies on third-party services (including Stripe for payments, Amazon Web Services for hosting, and email delivery providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.

8. Intellectual Property

The Service, including its software, design, trademarks, logos, and all related intellectual property (excluding Customer Content), is and remains the exclusive property of Wippit and its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you. "Wippit," "wipp.it," and associated marks are trademarks of Wippit. For clarity, the websites, applications, and code you build using the Service are your Customer Content and remain yours (Section 4); Wippit's intellectual-property rights extend only to the platform itself, not to what you create with it.

9. Feedback

If you provide suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

10. Availability and Support

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, or factors beyond our control. Support is provided according to your plan. Except where a written service-level agreement (SLA) applies to your plan, we do not commit to any specific uptime.

Beta and preview features. We may offer features labeled beta, preview, or experimental. These are provided "as is," may change or be withdrawn at any time, and may be less reliable than generally available features; do not rely on them for critical use.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIPPIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Wippit and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your Customer Content, your use of the Service or the Wippit Network, the services you make available to or access from other tenants or users, or your violation of these Terms or applicable law.

14. Term and Termination

14.1 These Terms remain in effect while you use the Service.

14.2 You may terminate by cancelling your subscription and ceasing use of the Service.

14.3 We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or if we discontinue the Service.

14.4 Upon termination, your right to use the Service and to participate in the Wippit Network ends. We may delete Customer Content after a reasonable retention period. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

15. Changes to These Terms

We may modify these Terms from time to time. We will post the updated Terms and update the "Last updated" date, and where changes are material we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Travis County (Austin), Texas, and you consent to their jurisdiction.

Binding arbitration. Please read this carefully — it affects how disputes are resolved. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules where applicable), rather than in court. The arbitration will take place in Travis County (Austin), Texas, or by videoconference, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Wippit agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.

Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in the courts identified above to protect its intellectual property or confidential information.

30-day opt-out. You may opt out of this arbitration agreement by emailing support@wippit.systems within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect the remainder of these Terms.

If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in the courts identified above, and the rest of this arbitration agreement will continue to apply.

17. Miscellaneous

17.1 Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Wippit regarding the Service.

17.2 Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

17.3 No waiver. Our failure to enforce any right or provision is not a waiver.

17.4 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

17.5 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
